First, get your self a Win 98 bootdisk. Go to www.bootdisk.com and download one if you don't have one.

Boot from the bootdiskmaking sure to load cd-rom support, and then at the A:> prompt type "format C:" without the quotes.

When it's done, pop in your Win 98 CDROM, type \setup, and go.

I don't believe you need to load Win98 at all.
You should be able to boot to the XP CD and then it will ask for a qualifying OS once it realizes there is not one on the disk.
You will then (once prompted) insert your Win98 CD in the drive for verification.
XP will then install without a problem.

If you have the upgrade version of XP, you do not need to install W98 first.

You do need to have the W98 CD on hand though.

Start by setting your BIOS to boot from CD.

Insert the XP CD into the drive, and boot from it.

You will be asked a few questions about how and where you want to setup XP.
(XP can even partiton and format your hard drive for you.)

At some point, you will be asked to insert your prior operating system CD to prove that you qualify for the upgrade version.

After the installer verifies the W98 CD, it will complete the install.

I recommend that you perform a fresh install of XP anyhow, as your system will work better, and have less installation problems than if you performed the upgrade.

The easiest way without having to download anything is to boot from your win98 cd. Proceed to your BIOS Setup screen during startup and select the CDROM to be on top of the boot priority (from from CDROM first before any other drive). The Windows 98setup will walk you through the installation process. After that, you can proceed through the installation of your WinXP upgrade.
