Also mentioned in one forum is that it could be a virus known as Winshow with instructions on where to go to scan for THAT critter! But, this forum at McAfee discounts that theory: http://community.mcafee.com/archive/index.php/t-177609.html and points back to the first link.
Then, there's another post indicating that it's in the display properties. http://forums.techarena.in/showthread.php?t=629831 This one gives instructions on how they fixed it. But, it's talking about WinXP. Since I can't remember if Win2K even HAD fade effects, it's worth a shot at looking into it.
I found all of these by simply doing an internet search for "sysfader". Try doing the same and see if you can't narrow down your specific set of circumstances.

internet explorer freezes - getting sysfader in task manager
I am getting this on a computer at work. Does anyone have any ideas. Yesterday, I loaded MS Project standard 2003.
