Is there a conflict of interest between a captive IT centre and IT services

I was responsible for creating a Captive IT centre for a very large Retail (in USA) in India. The parent company used services of IT services in India for two decades and so there was a initial resistance from the IT managers in the parent company to switch from reputed IT services vendors to the wholly owned captive IT Centre. When the company issued a manadate, it was easier to handle it initially but the real challenge was to get back the existing legacy knowledge from the vendors. The vendors were not keen to transfer the domain and application knowledge. We used some intelligent technique to derive the value in phases. I wish to know the perspective of other CIOs on how they could tackle the same problem in a mixed mode captive centre.
