I want 40 clients to access the Internet.I have a router on which Natting has been done to provide Internet access to entire subnet.
What I am confused is why then a Proxy Server is also used.Do I require "proxy" or will only "natting on router" work.

You don't really have to have a proxy, but it will provide you with logs of your user's internet traffic, and also it will cache common websites which will help reduce your network traffic.

A proxy server is not a necessity BUT it does provide some extra functionality such as logs, and also being able to grant or deny users access to the internet. Also, do you need to have web sites cached? I don't really think it is needed.

Also, check your router - some routers provide their own Proxy services

NAt is using one Internet legal Ip to browse the interent even as you have 40 or more guys doing it. Router & Proxy both do use NAT but both provide you with features that you can choose depending on your site.
I always advise using Proxy as you can restrict users' protocol access (to ftp files), or go to a particular site (using XStop - URL blocking firewall), run antivirus to scan browsing contents, check users URL logs (WebTrends Log Analyzer).
