First, check if you can shut off the PC when you boot from a DOS boot floppy.

After booting from the DOS floppy, hold in the power button for a few seconds, the PC should turn off.
If it does not, you have a hardware problem.

I have had to scrap several motherboards for problems with the power control circuit.

Start by checking in BIOS settings that shut down is the default for the power button.

If it shuts down from DOS, then you have a Windows problem.

Start by updating your video drivers.
I would in order update:
Chipset driver for the motherboard
DirectX (from Microsoft) verify the version supported by your video card.
Video card driver.

If that does not fix things, run Windows Update, and install the shutdown suplement. That corrects Windows problems 95% of the time.

Still having problems, go to www.aumha.org
They have a very good Windows Shutdown Problems troubleshooting guide.

Shutdown problems in Windows 98 can be caused by any of the following issues:
Incompatible, damaged, or conflicting device drivers (example port by severable devices in use)
A damaged exit sound file
Incorrectly configured or damaged hardware
To troubleshoot these issues perform the following steps in order, one at a time, testing after each step to determine if the issue is resolved. If the issue is not resolved, try next option. If you have installed new hardware or software on your computer, uninstall it and check to see if your shut down problem is resolved. If it is, contact the manufacturer of the hardware or software. If not then I do not know any solution anymore. Hope this will help you !
