First of all you'll need to upgrade Windows to (at least) Windows 2000 SP1. Then you can start with Exchange. Theese links can help you with Exchange:

1) Firstly you need to migrate to AD i.e Windows 2000 domain.
2) For that create New AD domain and create two way trust between NT and AD Domain
3) migrate users to AD with SID values if you want to keep existing security principle in place.
4) Install Active Directory Connector and create RCA and if needed PFCA.
5) Then migrate users with Exchange attributes.
6) Run forestprep and choose option to join existing 5.5 org. Join 5.5 org.
7) Use move mailbox wizard to move mailbox to new exchange server.

I know doing this is not easy but you can lot of articles bout his on net.
