Yes you can upgrade

however I prefer a clean install. I do not recommend upgrade installs, as they will carry over any issues, and often bring issues along with.

in the prefer a clean install department. Lots less trouble over the long term.

Is it necessary to upgrade? Personally, Win2K is still my favorite Windows. I'll run it until it won't support the latest and greatest hardware that I will eventually have to buy.

Use the new XP CD to wipe your Partitions and install from. It will ask for the Upgrade Media and when it does insert your Windows 2000 CD and and it will check it then follow the prompts.

I have to agree with everyone else here as well

Clean Installs are always better than Upgrades no matter what M$ may say. Also as XP Upgrade Disc's are no longer available you can if necessary use a M$ Branded Install Disc to do a Upgrade but I really wouldn't recommend it as 2000 and XP have different Hardware Drivers and this is more than likely to cause problems latter.

Anyway you can follow these destructions to do an Upgrade

However 2000 is going to run on any Dual Core Hardware quite happily for as long as Dual Core CPU's are available so why switch from a Proven Working OS to something that is no better it's only newer.
