Although microsoft's hardware requirement is 166Mhz,128MB ram and you have fulfilled the prerequisites, there is a little more to consider.I did an identical test,in my case I had a preexisting NT40 pdc running on an AMD-K62 450 MHz,392MB ram.All things were ok.In the process of learning upgrade routines, did just that.Upgraded ok,swithed to dcpromo is where it froze and cound not continue.Several reboots, same results. After all this my conclusion is although may not be accepted is
1)Basic ActiveDirectory requires more horsepower
2)Not only the cpu and ram consideration,we have to take our disk subsystem and our Bus speeds.
3)After improving my M/B I experienced tremendous slowdown with services.Hope That helps

I think your server is just underpowered. You may be above the minimum requirements for Win2K, but AD is definitely another animal. I have a similar server - a PII 400 with 256MB of RAM. I am able to run AD on it, but I have to have a LOT of free disk space plus it's very slow, plus my network only has 5 active users on it most of the time. Plus I have another server (PIII 800 with 384MB RAM) that does most of the authentication and file serving anyway. I think you're going to have to upgrade that server before you can go any further. Hope this helps!
