You may have to or you may not.
There are two scenarios.

1. Windows XP recognizes new MB and installs all drivers it can.

2. Windows XP has problem with the new MB. A typical symptom is BSOD, endless rebooting, or hanging.

Whether you are in Scenario 1 or 2, there are three things you need to do on your current system to attempt to make the transition smooth. If your current system cannot load to Windows, skip 2 and 3.

1. Backup your data.
2. Change your current IDE ATA/ATAPI Controller to Standard Dual Channel PCI IDE Controller.
3. Remove all devices (including chipset) and drivers from Control Panel.

Upgrade your system and turn it on.
If you are in Scenario 1, install MB drivers and you are all set.
If you are in Scenario 2, you have two options.

1. Reinstall Windows (In-place upgrade or repair installation) over the current one.
2. Clean install Windows.

If you feel comfortable of going through these, please post a comment. Then I will give you more information in detail.

What operating system are you currently running? To get the most performance and features available on the MOBO and CPU you will have to install XP, however it should run on any OS. Make sure you know what MOBO goes with what processor. According to AMD's website the AMD 64 3400+ MOBO takes a 754 pin CPU. Don't even try to boot to the hard drive. The change in the ide controller will keep it from happening. Xp will not auto install drivers for the new ide hardware.

Once everything is installed boot to the xp cd and perform what is called an inplace upgrade.

This will reinstall all needed drivers. All of your programs will remain.

Instructions on how to do this are here:
