Blue Screen error Stop: 0xD1 in NDIS.SYS

I’m going crazy trying to solve this one and have had no success at all. Can someone please help me if you have any ideas at all.

I’m getting a blue screen of death about 5-15 times a day! The specific error reported is DRIVER_IRQL_NOT_LESS_OR_EQUAL
Error Code: Stop:0xD1 (0x400,0x2,0x0,0xf8365b94)
Error in the NDIS.SYS wrapper

It occurs mostly when I’m running BitTorrent or some network intensive program, so given that and that it’s in NDIS.SYS it’s probably a networking problem someplace. The problem just started recently.

Things I’ve tried unsuccessfully already: Replace NIC (with same model), updating NIC drivers, switch to new BitTorrent Client, disabling firewalls and antivirus, kicking computer lots

Computer Specs: 2.8Ghz P4, connected to network through Netgear FA311 NIC (alone on IRQ21) to router to cable modem, 100Gb WD HD, Radeon 9600, Creative SB Live, Pacific DVD burner, firewire ports
