conflicts in resources

When I install a modem and have a NIC card in my PC for some reason I can not make my modem work. I have the correct driver for my modem. When I perform a dial tone test all I get is a screen that says can not open port. When I look in the device manager to see if there are any conflicts under the modem or NIC card it doesn’t show any errors.
