Dial Up Connection Internet Sharing

I have two computers with ethernet 10/100 cards, the cable connecting the two computers. Each computer has a modem. I have attempted to set up a network allowing me to share a dialup internet connection. The only software I have used is Win ME. I have set the TCP/IP addresses one number apart using the network wizard. However, when one computer is connected to the internet and the other computer tries to access it – one of two things happen: the second computer is given the message that the connection is not available, or it knocks the first computer off line. What have I missed? This is a direct setup – one computer to another without the benefit of a hub or router. Thanks…Gina
