Does it freeze before the end of the POST, or while Windows is loading?

If before the end of POST, remove clean, and reseat the RAM modules.
While you have things open, make sure that all cards are seated properly, and that all cooling fans run.

If it freezes while Windows is loading, the problems may be any number of items.
1. The memory could be "bad" and still pass the POST test.
2. A critical file could be missing or corrupt.
3. If a device was removed, Windows may stop because it is looking for the device.

See if you can bring up the "boot" menu.
See if you can boot into safe mode,
Or, select step by step, and see where it locks up.

If the title of your question indicates what I think it does, the system halts after counting the RAM, polling the devices (IE. hard drives floppies, etc.), but before beginning to load the OS. If this is correct, then you will likely need to changea setting in the CMOS for whether or not EDO RAM is installed. If you have EDO RAM in this system and the option in CMOS for "EDO RAM present" is not enabled then this will cause the system to halt. This is a very common "problem" with these older system boards, and it usually crops up after the CMOS has been reset (either on purpose or due to replacing the CMOS battery). Hope this helps you out.
