According to technet the problem is as follows:
SYMPTOMS
An Exchange 2000 server in an existing Microsoft Exchange Server 5.5 organization may report a 9318 event in the Application event log, and may also report a 9322 event with a Microsoft Windows NT error code 5.

Error code 5 translates to:
Access Denied. A failure with the credentials provided at the time the MTA attempts to bind.

The messages that are logged are as follows:
Event 9318: Source: MSExchangeMTA Category: Interface Type: Warning
Decription: An interface error has occurred. An MtaBind over RPC has failed. Locality table (LTAB) index (x), Windows 2000/MTA error code: 5, Comms error 5, Bind error 0, Remote Server Name SERVER_NAME, Protocol String ncacn_ip_tcp:FQDN_of_server_name

Event 9322: Source: MSExchangeMTA Category: Interface Type: Warning
Decription: An interface error has occurred. An MtaBindBack over RPC has failed. Locality table (LTAB) index (x), Windows 2000/MTA error code: 5, Comms error 5, Bind error 0, Remote Server Name SERVER_NAME, Protocol String ncacn_ip_tcp:FQDN_of_server_name

Exchange Server 5.5 computers also log event ID 9318 and 9322 messages that are similar to the preceding messages, where SERVER_NAME contains the name of the Exchange 2000 server.
CAUSE
This problem can occur if the Exchange Server 5.5 service account contains extended characters. The Exchange Server 5.5 message transfer agent (MTA) operates as the service account; however, Exchange 2000 services all run as LocalSystem and all have an override page, which is located in Exchange System Manager, in the Administrative group properties. This override page provides the logon credentials to deal with Exchange Server 5.5 computers in the site. The Exchange 2000 MTA does not properly handle extended characters in the override

To sort this out apply sp1 for exchange 2000
