Exchange 2000 needs a Windows 2000 server.
Exchange 2003 needs a Windows 2000 Service Pack 3 or a Windows 2003 server.

You can run Exchange 2000/2003 in a mixed-mode AD forest with a directory connector to Windows NT 4.0 domains, but you should remmeber that Windows NT 4.0 is no longer supported by Microsoft; thus, any potential security risks will fall on your head. Considering the number of known security holes in Microsoft code, you are a braver man than I should you choose to accept that risk.

No, Exchange 200x requires Active Directory. For NT4 you can only use Exchange 5.5 (no longer supported).
