Hardware problem

A Win98 compaq deskpro pc keeps on rebooting even after I have formatted the HDD and re-installed the same OS. I am sure that it’s a hardware problem, but the problem is that I do not know which hardware. Here’s the error msg that comes up every time before it restarts:

“An exception 0E has occured at 0028:C14398C0 in VxD. This was called from 0028:C001C494 in VxD NDIS (01) + 00004920. It may be possible to continue normally”.
“. Press any key to continue, or”
“. Press Ctrl + Alt + Delete to restart.”

Any ideas? pls help!!
