I suggest you visit Microsoft's site and read about clustering Exchange

There is just too much involved to actually write a book about in here, since the information is readily available on Microsoft's support site. What I can tell you is that you will need the Enterprise Editions of Windows Server 2003 and Exchange 2003 to successfully setup a cluster, as well as an external disk subsystem because you're setting up a SAN. If you're new to this, hire an experienced consultant to do it for you because there are too many things involved and if you're not skilled in this, you'll seriously mess up your current system.

For a few thousand dollars

several companies will sell you software to "mirror" one server to another in real time. But it requires duplicate licensing from MS to be legal.
This type of scenario will most likely require a professional consultant. Hot fail-over is difficult in some cases, and live synching of 2 exchange databases requires particular software. Maniacs suggestion of a multi-front end, madly redundant back end is probalby the best solution, and most likely the cheepest (depending).
