In a p-to-p, can W98 share a W2K folder?

I have a two-computer peer-to-peer network setup where a Win98 computer and a Win2K computer are plugged into a Netgear switch using Netbeui protocol and a workgroup. Both computers see each other in the workgroup but the Win98 computer can’t accessthe shared drive in the Win2K computer. It’s prompted with a login where the share on the W2K computer is referred to as \\servername\IPC$ and no password will work. If I can’t resolve this, I will have to upgrade the Win98 computer to Win2K.
