Backup everything (just in case); but especially data. If your disk is an "upgrade" cd, then you should be just fine with upgrading your Win98SE --> WinXP. If your cd is a full version cd, then you should install from a clean hdd.

Generally you are better off fdisking, partitioning, formatting and then installing. Any hardware that you have (video cards, modem, etc), you need to identify and visit the manufacturers websites to download the WinXP driver.

The possibility of losing all data depends on the type of installation you choose upgrade or clean install.

Windows XP file system differs than Windows 98SE,so losing data will be probale without backup

Using the upgrade you will have to reload some applications, using a clean install you will lose all data

The driver will be lost, you will need the software to support Windows XP,check the manufacturers web site before proceeding with installation for driver update, when running installation you will have an option to check for peripherals that will be compatible with XP

Check for sites on the net from Microsoft pertaining to Installation of Windows XP
