I am setting up a Win 2k server that all it will do is monitor our network and possibly monitor Web access. I will be putting it between our router/firewall and our Lan. Using two Nics how should I set up the the network cards. We use static IP address on our network.

basicly, you want to setup a sniffer on your network?

I would recommand checking out NTOP on Linux. These days, Red Hat is not that difficult to install. Also, you may want to research on port mirroring, port spanning.
