Migrate WIN2K AD to WIN2K3 AD

We have a remote network which consists of one Win2k server and two Win2k3 servers, which was dumped into our lap recently. We do not know who configured them. The DC's were all laptops, and I wanted to change them out to proper server class HW.I was able to switch out the WIN2K3 ones. The FSOMS/GC roles were moved to WIN2K3 but I cannot "remove" the Win2K one..... If I power it off, then we get "Domain cannot be found". Obviously at this point I don't want to dcpromo it out, (even if I could). I haven't really worked at this high level of the AD forest, but noticed there doesn't seem to be a true parent domain, as the domain name shows as "servername.domainname.local" on each DC.
I've "played" with the DNS to help, but again, not too strong in that area.

Any ideas out there? Should I take one of the Win2K3 DC's and start from scratch? How would prevent it from becoming "Local"?
