The second possable problem is that this server is running our exchange server will it cause a problem regarding e-mail if i move the server from one domain to a new one

many thanks

Moving the stand alone server is a matter of just removing it from the domain and rejoining it to the new one. The exchange portion will not really care so long as the following are not true.

1. It would be moving to a new exchange site
2. The exchange server is the first server in the exchange site
3. The actual FQDN for the mail flow changes (this is easily fixed but it will be an issue)

All said and told there are some great Technet articals on this topic (exchange related)that I would suggestion you read before actually completing the migration.
