NIC and Modem both are PINGing Same time

I have a new machine with Windows 98se loaded. When PINGing any other device on the network the modem tries to connect to the internet, and the NIC also starts sending packets. 25% of the packet sent are lost, usually the second set, right when the modem kicks off.
I have disabled the modem, and even uninstalled it, but the same thing still happens. It just can't find a modem.
Both the NIC and the Modem share IRQ 11.

Rerun the internet connection wizard, tell it you are connecting to the internet over the lan not phone lines. This will stop the tcpip stack from trying to connect over the modem. The other step you should do is goto Network->properties->tcpip for the nic, advanced tab, box at the bottom, 'Make this the default protocol', check it. Hope this helps.

I connect to the internet with the modem. The NIC TCPIP settings are default protocol.
If you have anything else I need to solve the problem still.
Sorry it took so long to answer, but the computer is at an office I don't get to very often.

First of all they shouldn't share the same IRQ, but anyway, you said you disable the modem but they still share the same IRQ, the it wasn't unistalled then. Well make sure this modem is completely unistall, then go to Control Panel, Internet Options, Connections and make sure that "Never dial on Connections" is selected, then go to LAN Settings and make sure that the settings are properly completed.

Done, done, and done. When the modem is uninstalled, it doesn't show at the same IRQ, it doesn't show at all. When it is reinstalled It still wants that IRQ setting. I can do it in either direction. NIC then Modem, Modem then NIC. The only way the modem doesn't fire, is when I have it uninstalled.
It only tries to communicate with the modem when I ping.
I have to keep the modem for internet access.

I found out I had a dammaged NIC right out of the box. I no longer lose packets, but do still have the problem of the modem trying to transmit when pinging.

See if you have any irq's open. If not remove the sound card, then install the modem leaving the nic in place. Then reinstall the sound card.

I didn't realize this question was still open. I've upgraded the PC to XP and do not hae the problem anymore.
