Upgrading to Windows 2KPro or XP Pro

Are there any known issues or things I should look out for when upgrading from Windows ME to WIN2K or XP (both pro) or from WIN98SE to WIN2K Pro or XP Pro? Also any preference on WIN2K over XP or vice versa? Thank You.
