Vista 32bit with 4GB will not boot!

Please help,
I have Vista Home Premium 32-Bit SP1
AMD Athlon 3500 + 2.2Ghz
4 x 1GB Memory (Bought at same time all matching)
Nivda Chip Set

I was running vista with 2GB of memory installed with no problems then I upgraded to 4GB of memory but vista fails to load, I get to the black screen with the green bar and then I get all these colours come up over the screen and then it locks up.

I know the memory and Mother Board are good as I had it working on XP Pro with the 4GB.

I can also boot vista in to safe mode and I have run the memory diognostic tool which found no problems.

I am unable to use the vista disk to boot up with 4GB.

I have also tried reformatting and installing clean with the 64-Bit edition but I still had the same problem.

I have looked on the web and it seems to be a common problem but I could see no help.

Any thoughts??
