This post is being written from a Win2k3 Advanced Server setup as a test.
Here are the pros:
1. Volume Shadowing.
2. Improved AD.
3. Support for all XP features.
4. Improved Network Services.
5. Improved CLI (Command Line Interface).
6. NLBC (Network Load Balancing Clusters), now included in standard version as well (not to be confused with Server Cluster).
7. Includes a POP3 Server even without Exchange.
8. NAT Traversal, and IPSec NAT Traversal.
9. Improved RRAS.
10. Better Security.
11. Improved DFs.
12. Simple Fax Sharing.
The cons are just that you have to go thru an upgrade process, for an OS that doens't really improve you general performance just adds some nice features.
In general it has improvements over 2k that might NOT be worth the upgrade. If however any of the features mentioned will save some headaches then go ahead and upgrade.
