Win Srv 2003 failover/cluster

How would I go about setting up 2 servers in a hot standby/failover scenario running exchange and files. This is actually Windows 2003 Server however no 2k3 forum is available to post.
Scenario is I want to run exchange and fiule share from 1 server however if this server fails I cant afford any downtime so I need an automated swapover which must contain all the upto date data.

If you are trying to set up a w2k3 cluster you will two or more servers loaded with windows 2003 enterprise or data center. If you are using only windows 2k3 (no add on tools from other vendors) you will need disk media that can be shared between two servers (We use a SAN, but MS course 70-223 for w2k indicates there are other options). You should also have two NICs in each server (1 for the network and 1 for the heartbeat). Then go out and buy the MS courseware for clustering windows 2003 (The W2k version of this ws course 70-223 and it was only about 70 dollars).
