You can look at the bios to update, but your problem may be an overheating or battery problem that may be causing the problem.Go to the cmos settings and make sure you have the power management disabled and re-start to see if this will work.If you created a boot disk insert and run the files over to get your settings back.

At the end of the day it was down to some crappy soundcard drivers, that had a wee tool called PNPcheck with them. At that little bugger was the culprit, methinks.
anyways, thanks to all you guys !

It is possible that your rundll.exe file is corrupt. To check, click on START -> RUN and type the following in the command line:

c:\windows\rundll.exe user.exe,exitwindows

That command should shut you computer down. If that shuts your computer down, reboot, click on START -> RUN and type in the command line:

c:\windows\rundll.exe user.exe,exitwindowsexec

The command is the same as the previous one, but you need to change "exitwindows" to "exitwindowsexec". The second command should envoke a "restart" as opposed to a shutdown. If both work, the problem may lie in a bad .dll file. Either way, you may need to replace the rundll.exe file or even re-install Windows in order to correct the problem. Good luck!

Your problem may be because of overheating or battery problem that may be causing this problem.Go to the cmos settings and make sure you have the power management disabled and re-start to see if this will work.Check weather the fan of your computer is working or not. You can do one more thing that you can run the setup with the switch "pf" that will only copy the system files. May be this will solve the problem.
Thank You
Farhan Ali

Are you trying to do a shutdown or shutdown and power off? If power off has been setup wrong and your PC doesn't support this feature then you have to disable it in your registry. This will happen as I found out on my laptop when it happened to me.
