Windows Freezes At the end of boot

Celeron 333, (Windows 98 1st edition) , 64 RAM computer which used to be working fine. Suddenly it started freezing after a while, more on internet than off internet. NOW it freezes as soon as it loads windows . It freezes right at the the time when we start seeing icons on the desk and system tray icons are loading. I changed memory (64 megabyte), Checked CPU on other computer, Changed Video card but nothing works. I even erased everything in hard disk and reinstalled Win 98 from scratchbut nothing helps. Recently I cannot install Windows even as it freezes while installing. So I installed win 98 in other computer and put the hard drive back in the compter. But it just freezes as discribed above ... at the end of loading windows. Tried to run on DOS mode and it runs ... no freezing. Can you give any ideas about how to correct this problem? .Thank you.

One you may want to check to see if the CPU is not overheating,make sure that your fan is working properly on the cpu,then you may have to update your BIOS to see if that is causing a problem.Run scandisk from the dos mode to check for any disk errors.
Another thing boot into safe mode and select the step by step configuration and select (Y) for each line.

Although not mentioned in the original question, these things were already tried, none helpful. Same way, safemode was already tried. No positive results obtained.

The problem is almost certainly with your hard drive or a BIOS incompatibility that can hopefully be corrected with a flash update. Go to the manufacturers site and get their diagnostic tools to check the drive. Try these: Western Digital: http://www.wdc.com/service/ftp/drives.html#dlgtools

If your HDD passes the manufacturers diagnostics, you need to seriously consider the cooling of your CPU. Is there a good thermal connection between the fan and the CPU? When does the freezing occur? If it takes longer for the machine to freeze after a long cooling period (such as the first boot of the day) but shorter after you have been working on it, this points to the processor overheating.
If all else fails, retrace your isolation technique. I know its frustrating, but a "savage pursuit of the truth" always pays off.

It does sound like a processor over heat problem or your system board may have went bad... Some things to try...
From your original question it sounds like you have 2 computers almost identical... If this is correct, first check to make sure both machines have the same bios settings, double check every single item even if it shouldn't have anything to do with the problem... then swap-out everything but the motherboard... if this corrects the problem swap each piece of hardware back in 1 at a time until you have the problem piece of hardware... if it didn't well replace the system board...
I know this is a long and drawn-out process but it is sometimes the only way...

As mentioned in original question tried swapping all the components in other (non identical but parts compatible) computer it did not work. Some of my contacts had advised to change the mother board, Perhaps it is not worth spending that much but buy a new computer !!

Your system and mine are similar and I had the same frustrating problem. I reformatted and that initially solved the problem but they returned as I reloaded and used applications. Eventually could not boot either. Changed all the components one by one, except the motherboard and power supply and it still happened. I removed all components to another computer using different motherboard and amazingly - No Problem! I changed the motherboard in my computer and since doing so, the system has worked perfectly.
