Windows Me Will Not Shut Down Properly

Hi! I hope you can help me with this vexing proglem.
After click the start and shutdown bottons the computer will display one of the two following items:

1. Windows protection error system halted. You need to restart your computer (this is a real drag booting up to shutdown!).

2. An exception OE has occurred at oo28:F000F841 in VxD---. This was called from 0028:codD324 in VxD NDISC(01) + 00005AA0. It maybe possible to continue normally. Press any key to attempt to continue. Press CTRL + ALT + DEL to restart computer. You will lose any unsaved. Enter for shutdown.

Somtimes I have to reboot my computer twice in order to get it to shutdown. My shutdowns are also power downs.

I believe this started after I installed a new program which one I do not know.

running WinME as well,had same problem & it was a program,can't remember which one now.
But I used start+search & went to search options & searched by DATE to find what files I had modified & created takes alittle time.Be sure to open any probrams & check thier options or preferances before you uninstall them, might just be a setting on one of them.

I don't know if this will help you much in your problem, but I once seen a similar problem to this one on a Win98SE machine. The problem was resolved by removing several things that were running at startup that did not need to be. Go to start, run, and type msconfig, then click on the startup tab. The startup tab will reveal the programs that are loaded when your computer is booted to windows, it seems alot of programs when installed configure themselves to run at startup. There are usuallyseveral programs that can be unchecked which will in turn free up your system resources. You must be careful though which items that you do unchecked because there are a few of course that are required.

The computer that I had this problem withwas running about 68% free on system resources on startup. I had read an article that told me if you were running below 70% that you could experience all kinds of weird problems in windows.
