windows server in place upgrade hangs

I attempted an upgrade on a physical server from Windows server 2003 x64 standard SP2 to windows server 2008 r2 enterprise and it hangs at the last stage "transferring files, settings and programs" on 40%. It lasted about 2 hours then I rolled it back to 2003. Anti-virus software has been removed. This was done within windows not booting directly to setup.

Any ideas??

I've done all that but it hangs at the last stage on 40%. It passes the compatibility test after a few adjustments. Might be some other software/hardware incompatibilities that it doesnt mention.

But you shouldn't rule out a possible Hardware issue like Failing RAM and test all of the Hardware First.

You can use the Ultimate Boot CD which is a free application to test the hardware with. It has all of the standard testing utilities included.
