Bad communication?

If it's happening with multiple systems with that CPU and chipset, look first for the latest XP service packs to see if it resolves the problem. My only other suggestion would be to look at the board manufacturers' site for alerts about XP incompatibilities, and BIOS upgrades to resolve them. Take heed of the warnings about flashing your BIOS, I've done it many times, and had a couple of mishaps myself.
If it's just one machine you're having the problem with, it's possible you have a defective or loose component, eg. memory or video adaptor. Make sure your drivers for all your components (including your motherboard) are valid XP drivers. Check for updates on the manufacturers' website. Don't overlook incompatible hardware, too. Check the XP hardware compatibility list to make sure your video card, modem etc. are on there.
If it was 5 years ago, I'd say it was a resource conflict, eg. your serial mouse port and modem on the same IRQ channel, but IRQ sharing and Windows' allocation of resources seems to be pretty stable in the last couple of years.
