Dual-Boot Windows XP and 2003 Server – Problem

I have tried a number of fixes but still have not found a solution. My configuration is:
c: 40G Windows XP Pro (primary OS)
d: 250G 2003 Server (secondary test OS)

WinXP Pro is booting fine, but 2003 Server just after the first reboot during installation comes back with “Windows could not start because the following file is missing or corrup: \system32\ntoskrnl.exe Please reinstall a copy of the above file.”

I changed the system attributes of the ntldr and ntoskrnl.exe and renamed them, then expanded the files to the root of the boot drive (c:) and changed the attributes of the files back to +r+s+h. rebooted – no fix

I then booted off the 2003 Server CD and did a repair console with fixboot, but still did not fix the problem.

Any ideas or see where I may have blown it?
