Is a Domain server necessary to run Exchange 2003?

We want to install Exchange 2003 but have a worgroup structured network. This is because we run an old version of Netware which is not Domain compatible. Can Exchange 2003 be run on a network with a workgroup structure – that is with no domain controller? Everything I have read about Exchnage 2003 says it needs Active Directory which I beleive means you have to have a Domain. Also I’m told it is not a good idea for the Exchange server to also act as the Domain controller. Is that true?
