Is this a brand name server or "whitebox"? Many PC-class motherboards do not properly present the amount of memory that is installed in the system. If it is an older server-class machine with an EISA motherboard, there may be a system utility that you have to run to configure the extra RAM.

You may also need to add a REGISTER MEMORY command to the STARTUP.NCF file:

REGISTER MEMORY 1000000 7000000

At http://support.novell.com/search/kb_index.jsp, do a search on REGISTER MEMORY

Try the following:
1.Down the server and look at the config.sys on the dos partition, make sure no memory manager is loading(himem.sys).
2.If you take out the new memory ,and do a memory at the command line, does it see the original 64?
3.Make sure the server is patched at the last service pack.
