Hmmm....check your power management settings in BIOS. There could be a problem here. What type of system is this?

Windows is having a problem shutting down one of the programs you have running. You may be able to find the guilty party by trial and error. Close all programs running in the SysTray, then press Control-Alt-Delete to get a list of the programs still in memory. Then manually close programs in the list one at a time and go to normal Windows shutdown until the error message disappears. In the list don't ever manually close a program named Explorer.

If you identify the problem program and wantto continue using it, reinstall it. If you don't care about the program, delete it from the Startup Folder or WIN.INI or wherever it is being automatically started from.

Good Luck, Fred

I would agree that it is a program in memeory that is not shutting down properly, however, I think there is probably a better way to fix the issue. Not all programs will be shown when you press ctrl+alt+del. a better alternative would be to go to start/run/msconfig. This brings up the sytem configuration utility. The last tab on the top is the startup tab, when you click on this it will bring up a list of all the programs that load at startup. You can disable each item by an associated checkbox. This is an excellent way to free up system resources as well.

This is a common problem with windows. It has happened to me before.Usualy it is caused
by a corrupt registry.Try using your back-up
registry and see if you get different results.

I have experience the same problem just after installing Norton anti virus. I would suggest you to go on Norton site FAQ section check for Shutdown in win98., or go on microsoft knowledgebase "win98 Shutdown problem".
I hope it helps.
