Why does msi software crash my pc?

Hello,
I’ve just purchased a Microstar KT4 ULTRA motherboard (KT4 SR)
Everytime I try and run the installation cd my computer crashes, rebooting and then saying windows has recovered from a serious error.
I have also tried downloading the samesoftware from MSI’s website and installing from my hard drive, but this too caused windows to crash.
Can you explain this?
Please help

I am running win xp on
kt4 ultra with amd xp 2000+
512 mb ddr 400
128 mb GeForce ti2600
REALmagic dvddecoder card
Videologic sound card with Yamaha DB50 daughterboard
pci network card
Could the pci sound card be causing the problem, clashing with the onboard sound? I hoped to disable the onboard sound in the bios, but this does’nt seem possible.
I hoped to be able to select between the two but I can’t even load the driver for the onboard sound or usb controller.
Please help.
