Win 2000 DC and Win 2003 DC

Ok I am asking a basic question.
I have a Windows 2000 Domain and I will be adding a memeber server that will be Windows 2003 with Excahnge 2003 on it and I also want to upgrade one of my 2000 DC to 2003 and one would remain 2000.
The raeson for one DC to remain 2000 is Licensing.
Are there any problems that I may be missing with this setup?

No. You need to do the server upgrade first, though, so that your domain schema and AD get upgraded to Win2K3 first before you install Exchange 2003. If you are going to run a direct upgrade on the 2000 server with the same hardware, that will happen automatically. If you are going to wipe and reinstall or replace the server hardware, you will have to run forestprep and domainprep from the Win2K3 CD to upgrade your Active Directory before installing Win2K3 as a DC for the first time.
