Win98 Fatal Exception Errors *sigh*

Have a Pentium 3 450 on my bench that is giving me fits. Upon bootup I immediately get a Blue Screen of Death with “A fatal exception 0E has occurred at 0028:C0005338 in VxD VMM (01) + 00004338. I have swapped out the RAM (64 megs DIMM), reloaded Win98, swapped out the video card and run Norton AV and scandisk. Per my Troubleshooter readout, it flunks the video memory test. What’s next?
