Windows 2003 Servers

Ok, I"m a windows 2000 server person. I'm now at a job where they have a Windows 2000 SBS (Used to be the Primary), they added a Windows 2003 server, and now I'm adding another Windows 2003 Server to replace the Windows 2000 SBS server.

I've not done this before. So any help in what I need to do to begin with would be advisable. I've always come into the servers already setup or adding servers, never having to really "Replace" a server.

I've already removed everything from that server, i.e. dns, wins, dhcp, etc.. so if I was to just shut it down, there's no apps, etc on it. Just plain Active directory and Exchange 2003 (Which the first Windows 2003 Server also has exchange 2003 on it as well). I believe they were using both as a redunant backup for exchange.

Do I need to do a dcpromo on anything? Or does anyone have like a check list that I can begin with.
